Initial discussion with the land owner to discuss the process and values and expectations – it is often the case that the land owner has neglected to consider additional implications surrounding the planning consent, such as the planning conditions, restrictive covenants, easements and access rights and abnormal costs. So we, at an early stage, discuss these matters openly and help to address additional issues that still need to be resolved. Restrictive covenant and insurance negotiation is also a specialism within our team.
Approach a select few developers, normally no more than five, who we know well – Over the years having been actively involved in the industry we have made a lot of contacts. Most of whom are experienced and professional practitioners who are well regarded in the sector. Through regular contact and business activities, we know who is well funded and who is best suited to the particular form of development which has been consented. We never advertise in press but rather rely on our contacts and knowledge.
Speak to developers and confirm interest and send copies of all documentation to allow them to make an informed decision and arrive at an offer
Manage the bidding process liaising with all parties and ensuring that we get the best offers. It is often the case that initial offers are slightly low, parties reserving their position for a final push in the days before the offer deadline. We always keep interested parties informed of competitor interest and we often find that offers are slightly increased during the final stages.
Deliver the offers to the seller showing copies of the written offers from all parties and then we advise on which offer or offers are the best. We believe that the highest offer is not always the best offer and our advice contains our opinion of the buyers funding position and their ability to proceed. We can also impart our experience of having worked with a particular company in the past and therefore possibly present the offer(s) with a personal recommendation.
Accept the offer and issue Memorandums of Sale to the buying and selling party, which always contains a list of items that are core to the contract and form the basis of terms agreed between the buyer and seller. Solicitors are then instructed.
Receive first draft contract and discuss the various elements and advise and negotiate the points within the contract always ensuring that it is reflective of the terms agreed.
Complete the negotiation process to exchange of contracts and thereafter to completion of the transaction
